These General Terms of Service (Merchant TOS) govern access to and use of the Wajub platform by any legal entity or individual acting as a professional (the 'Merchant') who wishes to accept, orchestrate and optimise payments, transfer funds, manage subscriptions, invoice customers, or use any other service offered by Wajub. Use of the platform implies express and unreserved acceptance of these Merchant TOS.
1. Definitions
Terms defined in the TOS include: API (Application Programming Interface), BYOP (mode in which the Merchant connects its own accounts with a Provider), End Customer (person making a payment), Merchant Account (secure space on the Platform), Connection (an account with a Provider used to carry a payment, whether it belongs to the Merchant or to Wajub), Dashboard (web management interface), DPA (Data Processing Agreement), Konsole (the Dashboard area giving access to API logs, events, webhooks and the routing log), Orchestration (selecting, for each payment, the Connection that carries it, and moving to another Connection on a retryable technical failure), Platform (all Wajub services), Provider (payment service provider, aggregator or operator), Wajub Rail (a Connection operated by Wajub through its own agreements with operators), Services (all Wajub features), Shield (anti-fraud controls applied to payments), and Sync (connected accounts service for platforms).
2. Purpose and scope
These Merchant TOS define the terms under which Wajub provides the Merchant with its orchestration, payment acceptance, transfer, invoicing and management services. They apply to any Merchant using the Platform, regardless of the plan subscribed (Pay as you go, Growth, Scale, Enterprise), the connection mode (Wajub Rail or BYOP), the services used, or the countries of operation. In the event of conflict between contractual documents, the order of precedence is: signed special terms, Merchant TOS, DPA, Privacy Policy, technical documentation.
3. Registration and merchant account
To use the Services, the Merchant creates a Merchant Account by providing accurate and up-to-date information (company name, registration number, address, contact details, identity of legal representatives, nature of business). The test environment (sandbox) is available on registration. Access to production opens once KYC/KYB checks are approved; these may include identity and company documents, a liveness check and sanctions list screening. The account's transaction ceilings depend on the outcome of these checks. The Merchant is solely responsible for the confidentiality of its credentials and API keys. Two-factor authentication can be made mandatory for the Merchant's team and is required for certain sensitive actions.
4. Services offered
Wajub provides payment orchestration technology. Depending on the plan subscribed, the Services include: Orchestration (ranking the Merchant's Connections for each payment, moving to another Connection on a retryable technical failure, temporarily removing failing routes, routing log), Payments (accepting mobile money and card payments through the Merchant's Connections or the Wajub Rail), Payouts (transfers to beneficiaries), Link (hosted payment links), Checkout (hosted payment page), the Dashboard and Konsole, and, when enabled on the account, Invoicing, Tax, Sync and Shield. Available channels depend on the Merchant's Connections and on Providers; an indicative list is published at wajub.com/payment-methods. The Merchant acknowledges that Orchestration does not guarantee that a payment that failed on one Connection will be accepted by another, in particular when several Connections depend on the same operator, and that the test environment does not run Orchestration.
5. Financial terms
Applicable fees are detailed on the pricing page wajub.com/pricing. They include: a subscription depending on the plan, with a discount for a 3-, 6- or 12-month commitment; on the Wajub Rail, a commission on each payment collected and on each payout, at a rate that depends on the plan; for payments orchestrated through the Merchant's Connections (BYOP), a quota included in the plan and, beyond it, overage fees per payment and as a percentage of volume. Fees charged by a Provider for a Merchant's Connection fall under the contract between the Merchant and that Provider. Any change to fees is notified to the Merchant at least 30 days before it takes effect. No setup, file or termination fees are charged.
6. Merchant obligations
The Merchant undertakes to use the Services in compliance with the TOS and applicable law, provide accurate information, maintain the confidentiality of their credentials, comply with the laws of the countries in which they operate, obtain necessary consents from their end customers, and not use the Services for fraudulent or unlawful purposes. Absolutely prohibited activities include illegal activities, the sale of illicit products, money laundering and fraud. Restricted industries (gambling, financial services, adult content, etc.) are subject to prior conditions.
7. Wajub obligations
Wajub undertakes to provide the Services in accordance with the technical documentation and to use reasonable means to ensure their availability. Platform status and incident history are published at status.wajub.com. Scheduled maintenance likely to affect the Services is announced in advance where possible. No quantified commitment on availability, response time or resolution time is made under these TOS; such commitments can only arise from signed special terms. Support is provided by email, at the level included in the subscribed plan. Wajub implements the security measures described at wajub.com/security, including encryption of communications, webhook signatures, encryption of Connection credentials and isolation of test and production environments.
8. Intellectual property
Wajub is the exclusive owner of all intellectual property rights in the Platform, its source code, design, trademarks and documentation. The Merchant benefits from a non-exclusive, non-transferable licence limited to the use of the Services. The Merchant retains its rights to its own creations and data. They may not copy, modify, decompile, resell or use Wajub's trademarks without prior written authorisation.
9. Data protection
Wajub and the Merchant undertake to comply with the GDPR, the UK GDPR and the laws applicable in the countries where the Merchant operates. For End Customer data processed on the Merchant's behalf, the Merchant is the controller and Wajub the processor, under the terms of the DPA. For the Merchant's account and verification data, Wajub acts as controller, under the terms of its Privacy Policy. Retention periods are: sandbox API logs 90 days, production API logs 1 year, transactions 10 years, KYC/KYB documents duration of the relationship + 5 years. Wajub implements technical and organisational measures in accordance with Article 32 of the GDPR.
10. Liability and warranties
Wajub warrants to provide the Services in accordance with the documentation, implement the security measures described and comply with the regulations applicable to its business. Wajub's liability is limited to the total fees paid by the Merchant in the three months preceding the event giving rise to liability (for Pay as you go, Growth and Scale plans). Wajub is not liable for indirect damages, maintenance interruptions, failures of Providers or operators, including when several Connections depend on the same operator, or force majeure events.
11. Suspension and termination
Wajub may immediately suspend access to the Services in the event of a serious breach of the TOS, fraudulent use, non-payment, or suspected money laundering. The Merchant may terminate their account at any time from the Dashboard. Wajub may terminate with 30 days' notice. Upon termination, access is disabled, API keys are revoked, and data is retained in accordance with legal periods. The Merchant may request an export of their data within 30 days of termination.
12. Disputes, refunds and settlement
Refunds and disputes are subject to the rules and time limits of the Provider or operator that carried the transaction; the Merchant handles them from the Dashboard or the API, as described in the technical documentation. Wajub is a payment orchestration platform and does not hold Merchants' funds. The time for funds to become available depends on the channel used (mobile money, card, bank transfer), the Provider and the account's risk level, as described in the technical documentation. The Merchant acknowledges that these times depend on Providers and that Wajub cannot be held liable for delays attributable to them.
13. Regulatory compliance
Wajub provides payment orchestration technology. Wajub is not a payment institution and does not hold the funds of Merchants or End Customers. Payment, collection and settlement services are provided by third-party Providers and operators. Wajub applies compliance controls, including KYC/KYB verification of Merchants, sanctions list screening and transaction monitoring. The Merchant undertakes to cooperate with these controls and to report any suspicious transaction.
14. Governing law and acceptance
These Merchant TOS are governed by English law (England & Wales). Any dispute shall be submitted to the competent courts of London. The TOS are drafted in French; only the French version shall prevail. The Merchant accepts the TOS by creating their Merchant Account or continuing to use the Services. Wajub may modify the TOS with 30 days' notice. The Merchant may terminate without charge during the notice period if they refuse the modifications.
