Terms of Service — Merchants

These General Terms of Service (Merchant TOS) govern access to and use of the Wajub platform by any legal entity or individual acting as a professional (the 'Merchant') who wishes to accept, orchestrate and optimise payments, transfer funds, manage subscriptions, invoice customers, or use any other service offered by Wajub. Use of the platform implies express and unreserved acceptance of these Merchant TOS.

Article 1 — Definitions

Terms defined in the TOS include: API (Application Programming Interface), BYOP (merchant uses its own contracts with a payment provider), End Customer (person making a payment), Merchant Account (secure space on the platform), Dashboard (web management interface), DPA (Data Processing Agreement), Konsole (technical interface for API keys and webhooks), Orchestration (smart routing, monitoring and payment recovery), Platform (all Wajub services), Provider (payment service provider), Wajub Rail (using Wajub's pre-negotiated provider contracts), Services (all Wajub features), Shield (built-in anti-fraud engine), and Sync (connected accounts onboarding service for platforms).

Article 2 — Purpose and scope

These Merchant TOS define the terms under which Wajub provides the Merchant with its payment, orchestration, onboarding, transfer, invoicing and management services. They apply to any Merchant using the Platform, regardless of the plan subscribed (Pay as you go, Growth, Scale, Enterprise), the provider connection mode (Wajub Rail or BYOP), the services used, or the countries of operation. In the event of conflict between contractual documents, the order of precedence is: signed special terms, Merchant TOS, Privacy Policy, DPA, AML/CFT Policy, technical documentation.

Article 3 — Registration and merchant account

To use the Services, the Merchant must create a Merchant Account by providing accurate and up-to-date information (company name, registration number, address, contact details, identity of legal representatives, nature of business). Wajub conducts KYC/KYB checks before activating the account, including identity documents, company documents, biometric verification, and screening against international sanctions lists. The Merchant is solely responsible for the confidentiality of their credentials and API keys, and must enable two-factor authentication (2FA).

Article 4 — Services offered

Wajub offers the following services: Payments (accepting payments via mobile money, cards, bank transfers), Orchestration (Smart Routing, Monitoring, Payment Recovery), Sync (onboarding and managing connected accounts for platforms), Payouts (single, batch or recurring transfers to 16 countries), Invoicing (invoicing with integrated payment link), Link (shareable payment links without development), Checkout (customisable hosted payment page), Dashboard (management and analytics), Shield (anti-fraud engine analysing 18 signals in real time), Konsole (technical management of API keys and webhooks), Wajub Tax (automatic multi-country VAT calculation), and modular UI Components.

Article 5 — Financial terms

The fees and financial terms applicable to the Services are detailed on the pricing page at wajub.com/pricing. The Merchant is informed that fees may change; any modification is notified with reasonable notice. The subscription is billed monthly and collected automatically. No setup, file, or termination fees are charged.

Article 6 — Merchant obligations

The Merchant undertakes to use the Services in compliance with the TOS and applicable law, provide accurate information, maintain the confidentiality of their credentials, comply with the laws of the countries in which they operate, obtain necessary consents from their end customers, and not use the Services for fraudulent or unlawful purposes. Absolutely prohibited activities include illegal activities, the sale of illicit products, money laundering and fraud. Restricted industries (gambling, financial services, adult content, etc.) are subject to prior conditions.

Article 7 — Wajub obligations

Wajub undertakes to provide the Services in accordance with the technical documentation, to ensure API availability of at least 99.9% (99.99% for Enterprise Plan), excluding scheduled maintenance notified 48 hours in advance. Technical support is provided according to priorities: P1 Critical (< 15 min response, < 4h resolution), P2 High (< 1h response, < 24h resolution), P3 Normal (< 4h response, < 72h resolution), P4 Low (< 24h response, < 5 days resolution). Wajub applies TLS 1.3 encryption in transit and AES-256 at rest, PCI DSS compliance, and regular security audits.

Article 8 — Intellectual property

Wajub is the exclusive owner of all intellectual property rights in the Platform, its source code, design, trademarks and documentation. The Merchant benefits from a non-exclusive, non-transferable licence limited to the use of the Services. The Merchant retains its rights to its own creations and data. They may not copy, modify, decompile, resell or use Wajub's trademarks without prior written authorisation.

Article 9 — Data protection

Wajub and the Merchant undertake to comply with the GDPR, the UK GDPR, and applicable local laws (Cameroon, Côte d'Ivoire, Senegal). The Merchant is responsible for processing its end customers' data; Wajub is a processor. Data is retained for the following periods: sandbox API logs 90 days, production API logs 1 year, transactions 10 years, KYC/KYB documents duration of relationship + 5 years. Wajub implements technical and organisational measures in accordance with Article 32 of the GDPR.

Article 10 — Liability and warranties

Wajub warrants to provide the Services in accordance with the documentation, implement the security measures described, comply with data protection regulations, and hold the necessary authorisations. Wajub's liability is limited to the total amount of fees paid by the Merchant in the three months preceding the event giving rise to liability (for Pay as you go, Growth and Scale plans). Wajub is not liable for indirect damages, maintenance interruptions, third-party provider failures, or force majeure events.

Article 11 — Suspension and termination

Wajub may immediately suspend access to the Services in the event of a serious breach of the TOS, fraudulent use, non-payment, or suspected money laundering. The Merchant may terminate their account at any time from the Dashboard. Wajub may terminate with 30 days' notice. Upon termination, access is disabled, API keys are revoked, and data is retained in accordance with legal periods. The Merchant may request an export of their data within 30 days of termination.

Article 12 — Disputes, refunds and settlement

The Merchant may process refunds up to 180 days after the transaction. In the event of a dispute, the Merchant has 7 days to submit evidence. Wajub is a payment orchestration platform and does not directly execute financial settlements. Observed settlement times are: mobile money D+1, cards D+2, payouts 2 to 24 hours. The Merchant acknowledges that timescales depend on Providers and that Wajub cannot be held liable for delays attributable to them.

Article 13 — Regulatory compliance

Wajub holds the necessary authorisations in the countries where it operates, notably in the United Kingdom (FCA — Non-PSP, technical intermediation), France (ACPR — Registered payment services agent), Cameroon (MINFI/COBAC/BEAC) and Côte d'Ivoire (BCEAO). Wajub applies an AML/CFT policy compliant with FATF recommendations. The Merchant undertakes to comply with this policy and to report any suspicious transaction.

Article 14 — Governing law and acceptance

These Merchant TOS are governed by English law (England & Wales). Any dispute shall be submitted to the competent courts of London. The TOS are drafted in French; only the French version shall prevail. The Merchant accepts the TOS by creating their Merchant Account or continuing to use the Services. Wajub may modify the TOS with 30 days' notice. The Merchant may terminate without charge during the notice period if they refuse the modifications.
